Village said sales increased primarily due to same store sales growth of 2.2% and the openings of replacement stores in Watchung, New Jersey on April 9, 2025 and East Orange, New Jersey on May 27, 2026.

Gross profit as a percentage of sales was 28.17%, compared with 28.57% in fiscal 2025, which Village attributed primarily to lower patronage dividends and other rebates received from Wakefern (.32%). Operating and administrative expense was 24.06% of sales, compared with 23.92%, including higher legal and other professional fees (.12%).

Net income was $52,455, compared with $56,380. Diluted net income per share was $3.54 for Class A common stock and $2.56 for Class B common stock, compared with $3.81 and $2.75. Adjusted net income, a non-GAAP measure, was $52,688, compared with $56,429.

Under its credit facility with Wells Fargo National Bank, $65,979 remained available under the $75,000 unsecured revolving line of credit. Village said it was in compliance with all covenants. Dividends paid were $13,336, at $1.00 per Class A share and $.65 per Class B share.

Wakefern Litigation

Village disclosed that it is engaged in litigation with Wakefern. Its complaint, first filed on May 2, 2025 in the Superior Court of New Jersey, concerns Wakefern's acquisition of Morton Williams Supermarkets, which closed on or about October 1, 2025 after the court declined to enjoin it. On June 17, 2026, Wakefern filed First Amended Counterclaims and a Third-Party Complaint against Village, certain subsidiaries, its Chief Executive Officer and its President.

A separate complaint served on March 20, 2026 and filed by Wakefern in the U.S. District Court for the District of New Jersey alleges trademark infringement and unfair competition related to the Fairway and Gourmet Garage marks. Village denies the allegations. Village said it is unable to determine the probability of the outcome or the range of reasonably possible loss, if any.

Fiscal 2027 Outlook

Village expects same store sales to increase in a range of 0.5% to 2.0% in fiscal 2027, a 53-week year ending July 31, 2027, and an effective income tax rate of 31.0% to 32.0%.
