Glimpse Group Inc. (NASDAQ: GGRP) announced on July 7, 2026, that it entered a Master Purchase Agreement to transfer ownership of its subsidiary Glimpse Learning, LLC. The transaction aligns the company with a pure‑play physical AI focus by shedding a non‑core asset.

Deal Structure

Under the agreement, Glimpse Group will sell all membership interests in Glimpse Learning, LLC and related assets to Glimpse Learning, Inc. A newly created Wyoming entity. In return, the AI firm will receive 1,999,999 shares of the buyer’s common stock, which equates to a 19.99% ownership stake on a fully diluted basis.

Ownership Links

Lyron Bentovim, who recently stepped down as President, CEO, and board chair of Glimpse Group, remains a beneficial owner of roughly 5% of GGRP’s common stock. He also holds the largest position in the buyer, owning approximately 50.6% of its outstanding shares. No other material ties between the parties were disclosed.

Royalty Framework

The purchase price includes ongoing royalty payments. From July 1, 2027, through December 31, 2027, the buyer will remit 7% of all revenue earned by the buyer, the former subsidiary, or related affiliates. From January 1, 2028, onward, the rate increases to 10% of such revenue.

These payments cease once Glimpse Group has collected a cumulative $1,200,000 in royalties.

Early Exit Options

The buyer may elect to terminate the royalty stream on December 30, 2027, by paying a cash sum of $1,000,000, less any royalties already paid. Additionally, a change of control event triggers a payment equal to $1,200,000 minus any prior royalty receipts, due within 60 days of the event.

Cash Considerations

At closing on June 30, 2026, Glimpse Group provided a working‑capital adjustment of $200,000 to the buyer. The company will also make a $58,000 revenue‑share payment by September 30, 2026. Further payments of $18,000 are scheduled for December 1, 2026, and March 1, 2027.

Strategic Outlook

Selling Glimpse Learning allows Glimpse Group to concentrate resources on its core physical‑AI offerings. The retained equity stake and royalty stream preserve upside potential while delivering immediate cash benefits. The transaction was disclosed through a formal press release and accompanied by unaudited pro forma financial statements reflecting the divestiture.
