Key Highlights

● BTC Digital registered 18.4 million shares for resale, a filing that raises dilution considerations for existing shareholders.

● The registration accompanies a $28 million bet on AI computing infrastructure, the company's latest strategic pivot.

● BTC Digital, Cayman Islands-incorporated with a Shenzhen Business address, exited Chinese tutoring in 2022 and has rewritten its Business Plan multiple times since.

● The AI computing pivot represents one of the more dramatic strategic shifts among small-cap Nasdaq companies in recent memory.

Few small-cap Nasdaq companies have rewritten their business plan as often as BTC Digital Ltd. (NASDAQ: BTCT). The Cayman Islands-incorporated group, which lists a Shenzhen business address with the SEC, exited Chinese tutoring in 2022, became a US-based Bitcoin miner under the BTCT ticker in 2023, and has spent 2026 recasting itself as a builder of AI computing infrastructure.

The newest chapter landed on 29 July 2026, when it filed a Form F-1 with the Securities and Exchange Commission. The filing raises no fresh money. It clears the way for investors in a June private Placement to resell 18,421,050 ordinary shares, roughly 156% of the 11,800,567 shares outstanding beforehand.

That ratio is why the stock is being watched. The same prospectus discloses a last reported close of $0.54 on 28 July 2026 and repeats language that there is substantial doubt about the company's ability to continue as a going concern.

What Happened

The registration statement covers stock tied to a securities purchase agreement dated 26 June 2026: 5,175,437 ordinary shares already issued, 964,913 shares issuable on pre-funded warrants, and 12,280,700 on common warrants.

The underlying deal closed on 29 June. BTC Digital sold 6,140,350 common or pre-funded units at $1.14 to institutional investors. Each unit paired one ordinary share, or a pre-funded Warrant exercisable at $0.00001, with two common warrants exercisable at $1.71 over 60 months. Gross proceeds were about $7.0 million upfront, with roughly $21 million more possible only if every warrant is exercised. Aegis Capital Corp. was exclusive placement agent.

The same day it filed the F-1, the company appointed Wei Sun as Chief AI Business Growth Officer. Sun was previously chief digital officer at SF Supply Chain and co-founded JD Digits. His brief is AI business development and customer acquisition.

Why It Matters

BTC Digital has been explicit about where the cash goes: first-phase construction at its Georgia, US site, covering liquid-cooling equipment, power systems and an operations team. It describes an 8 megawatt AI computing centre there, scalable to about 20MW, on 62 acres of owned land served by a dedicated substation backed by 20MW of approved capacity.

Chief executive Siguang Peng said the raise would let the company convert the scarce resources already in its hands, locked-in power and owned sites, into revenue-generating AI computing. Secured grid capacity is hard to obtain in the current build cycle, but turning approved megawatts into contracted Revenue needs customers and capital, and June delivered only a first slice of the latter.

The Numbers

The FY2025 Annual Report on Form 20-F, filed 11 May 2026 after a late-filing notification, shows revenue of $14.0 million from the Cryptocurrency business against $11.7 million in 2024. The net loss from that business widened to $8.9 million from $2.0 million.

The Balance Sheet is harder reading. Cash and cash equivalents stood at $350,000 at 31 December 2025, down from $14.9 million a year earlier and $6.4 million at 30 June 2025. Total Assets were $39.9 million versus $41.1 million.

A Form 6-K dated 28 May 2026 disclosed $1.0 million of unsecured, non-convertible one-year loans from the company's own chief executive and chief financial officer, priced at 12% a year and permitted to be disbursed in Tether stablecoin.

Share count tells the dilution story. Ordinary shares went from 6,434,040 at end-2024 to 9,516,975 on the 20-F cover, then 11,800,567 after the placement, and could reach 30,221,617 if all warrants are exercised. With the stock at $0.54, warrants struck at $1.71 are far out of the money.

What It Means for the Company

Strategically, BTC Digital is trying to move from selling hashrate, where revenue tracks the bitcoin price and network difficulty, to selling compute capacity under contract. Miners that have re-rated on the same shift generally did so only after signing a named customer.

BTC Digital has assembled pieces but not that contract. In April 2026 it said construction of a 10MW computing project in Georgia was complete, and outlined a phased AI build of 5MW then a further 10MW subject to Demand and financing. It also signed a January 2026 framework agreement with Fog Computing Inc. for liquid-cooled data-centre technology, and an April 2026 joint development agreement with Aurora Energy Ltd. for a 5-10MW off-grid, gas-powered site in Alberta. Neither carried capacity commitments or dollar figures.

Risks Investors Should Watch

The going-concern language is the starting point: the company cites a low cash balance, significant net losses and negative Operating Cash Flow at 31 December 2025.

Dilution is next. Registering shares equal to about 156% of the pre-offering count creates persistent selling supply, and the prospectus acknowledges that more free-trading stock could push the price down substantially. The follow-on $21 million, meanwhile, depends on a share-price recovery that has not happened.

Nasdaq Capital Market continued-listing rules require a $1.00 minimum bid price, and the company's own filing shows a $0.54 close on 28 July 2026. No deficiency notice has been disclosed in the filings reviewed here, but the gap is real.

Execution risk is concentrated. No AI customer, contracted megawatt or revenue figure has been disclosed, and the Georgia build still depends on energization, equipment and further funding. Add bitcoin price and power-cost exposure on the Mining side, plus a Shenzhen-based team running US assets under a Chinese regime that bans domestic cryptocurrency transactions.

What Comes Next

The immediate item is the F-1 going effective, after which placement holders can begin selling. Operationally, the tests are energization of the Georgia site and the switch-on of first-phase AI capacity, indicated as within six months of the June announcement. A first named AI customer, or disclosed contracted megawatts, would be the most meaningful datapoint.

BTC Digital is a foreign private issuer filing an annual 20-F rather than quarterly reports, with the FY2026 document due in 2027. It has previously published half-year figures via Form 6-K, so a 2026 interim update would be the next hard financial disclosure.

A Company Defined by Reinvention

BTC Digital is attracting attention because it holds something scarce, owned land and approved substation capacity in a power-constrained US market, and very little else. Revenue grew in 2025, but losses widened, cash fell to $350,000, and management bridged the gap with a dilutive placement and loans from its own officers.

The July registration statement is where those realities meet: it turns the AI pivot's funding into tradeable stock. Whether the strategy works will be decided by customers and megawatts, not by filings.
