LXP Industrial Trust Closes Merger and Removes Unsold Registered Securities
On November 2, 2026, LXP Industrial Trust, a Maryland real estate investment trust formerly known as Lexington Realty Trust and, prior thereto, Lexington Corporate Properties Trust, completed the transactions set out in its Agreement and Plan of Merger dated July 19, 2026. According to the filing, the Registrant merged with and into Leopard Merger Sub LLC, a Maryland limited liability company and wholly owned indirect subsidiary of Leopard REIT LLC, with Leopard Merger Sub LLC serving as the Initial Surviving Entity.
The filing further discloses that, also on November 2, 2026 and following the effective time of that merger, the Initial Surviving Entity merged with and into Leopard Intermediate LLC, a Delaware limited liability company and wholly owned subsidiary of Leopard REIT LLC. As a result of these two steps, referred to collectively in the filing as the "Mergers," Leopard REIT LLC became the sole member of the Surviving Entity.
In connection with the closing of the Mergers, the Registrant filed this Post-Effective Amendment to fulfill undertakings made in each of the eleven Registration Statements to remove from registration, by means of a post-effective amendment, any securities registered for issuance but remaining unsold or otherwise unissued at the termination of the offerings. The filing states that it "hereby removes from registration all securities that were registered but unsold under each Registration Statement as of the date hereof." The eleven affected Registration Statements were originally filed with the SEC between April 16, 1996 and March 11, 2009.
