MINISO Group Holding Limited (NYSE:MNSO) furnished two Forms 6-K to the SEC on September 29, 2026. One announces that its chief financial officer, Jingjing Zhang, made an additional open-market purchase of the company's ordinary shares worth approximately HK$2.7 million. The other attaches a series of Next Day Disclosure Returns, filed with the Hong Kong Stock Exchange, reporting share buybacks that the company says were carried out under a 10b5-1 repurchase program. MINISO trades on the New York Stock Exchange under the symbol MNSO and in Hong Kong under stock code 9896.
The CFO's Purchase
The announcement, dated September 29, 2026, says Mr. Zhang bought shares in the open market using personal funds. It describes the amount of the current purchase as approximately HK$2.7 million and notes a prior purchase of approximately US$400,000 in December 2023. The announcement does not specify the number of shares bought and does not give his holdings before or after the purchase.
The company states that "the additional acquisition re-affirms the Company's management commitment and confidence in the value and long-term development." It adds that management "may further increase their shareholding in the Company as and when appropriate and subject to compliance with applicable laws and regulations," and that any purchases "may be done subject to market conditions and at the individual's absolute discretion." MINISO describes itself as an "IP-driven retailer and operation platform" founded in 2013 that manages the MINISO and TOP TOY brands.
The Buyback Disclosures
The second 6-K covers the month of September 2026 and lists nine exhibits, each a Next Day Disclosure Return dated between September 23 and 28, 2026. These returns are the forms a Hong Kong-listed issuer files the day after it repurchases shares.
The return submitted September 23 reports that on September 22 the company repurchased 108,764 ordinary shares, equal to 27,191 American depositary shares, on the New York Stock Exchange at prices between US$2.255 and US$2.295 per share, an average of US$2.2668, for a total of US$246,544.01. The return submitted September 25 reports that on September 24 it repurchased 23,112 ADSs, representing 92,448 ordinary shares, at US$2.2175 to US$2.24 per share for US$206,197.11. The filing set also includes a September 25 repurchase of 108,800 shares, or 27,200 ADSs, for US$238,570. The return submitted September 28 reports a purchase on the Hong Kong exchange that day of 1,247,600 shares at HK$17.27 to HK$17.64 per share for HK$21,738,970, of which 100,000 shares were bought under a Hong Kong automatic share repurchase plan.
The Mandate Behind the Buybacks
Each return refers to a shareholder resolution of June 18, 2026 authorizing the repurchase of up to 121,404,144 shares. Cumulative repurchases under that mandate grew across the returns: 22,186,132 shares, or 1.827461 percent of issued shares, in the September 22 return, 24,847,692 shares in the September 24 return, and 26,304,092 shares in the September 28 return, which is about 2.17 percent of the 1,214,041,449 issued shares reported. The returns show issued share capital unchanged at 1,214,041,449 shares, zero treasury shares, and shares repurchased for cancellation. They also refer to a moratorium period running through October 22, 2026 in one return and October 24, 2026 in another.
Neither filing gives a total budget for the buyback or says how long it will run beyond the terms of the mandate. The CFO announcement does not disclose share counts, and it does not link his purchase to the buybacks.
MINISO 121,404,144-Share Buyback Mandate Progress
A Next Day Disclosure Return is filed after each day on which shares are repurchased, so further returns would follow any additional buybacks under the June 18, 2026 mandate. The company's later Forms 6-K would show the updated cumulative total against the 121,404,144-share limit. Any further purchases by management would be announced under the "as and when appropriate" language quoted above.
