An all stock agreement joins a chip designer with a laser maker, on the premise that the wiring inside AI data centers is turning from copper to light.
A Deal Defined by Its Ratio
Marvell Technology (NASDAQ:MRVL) agreed on Monday to acquire Lumentum (NASDAQ:LITE) in an all stock transaction that gives Lumentum an implied Enterprise value of USD 115 billion. The terms are simple. Every Lumentum share becomes 4.500 shares of Marvell, a fixed ratio that works out to about USD 1,132 per share and a premium of roughly 23.9% to the closing prices of October 28, 2026, the last session before talk of a deal began.
When the transaction closes, Marvell's existing stockholders will own about 67% of the enlarged company on a fully diluted basis and Lumentum's about 33%. Both boards approved the agreement unanimously.
The Problem Behind the Purchase
The companies frame the deal around a physical constraint. AI infrastructure demands ever more bandwidth, and copper wiring is reaching its limits. The answer, in their telling, is optical connectivity, and the shift is most pressing in the newest Data Center architectures, particularly the scale up and scale in designs. The companies expect the combined Business to serve connections of every length, from distributed data centers down to links inside advanced semiconductor packages.
The shift carries a design consequence. Optical parts used to be bought as separate, modular components. The companies say customers now want them integrated, with electrical, analog and optical technologies engineered together so that bandwidth, performance and energy efficiency improve as a whole. Their pitch is that one company designing the full signal chain can deliver pre validated optical products at high Volume and get them to customers sooner.
Marvell chairman and CEO Matt Murphy described the change as a fundamental architectural shift and an opportunity that arrives once in a generation, with the early movers setting the standard for decades. Lumentum CEO Michael Hurlston said the combination lets the company meet a customer's complete interconnect needs, today and in the scale up and scale in domains to come.
Two Toolkits
The fit rests on what each company already makes. Marvell contributes electrical and optical interconnect, network switching, custom XPU and XPU attach products, and advanced semiconductor technology. Lumentum contributes high performance lasers, optical transceivers, optical circuit switching and specialized Manufacturing of compound semiconductors, including indium phosphide, as well as high power laser capability.
After closing, the companies expect the combined business to cover leading edge CMOS, silicon photonics, compound semiconductors, advanced packaging and manufacturing. They plan to bring chip design, packaging and specialized fabrication closer together to allow deeper integration, to strengthen strategic Supply and to speed the development of next generation optical technologies.
The Financial Case
The companies put the addressable market of the combined business at USD 550 billion. They describe two of the fastest growing enablers of AI infrastructure coming together and expect the deal to improve long term Revenue growth and the non GAAP gross and Operating Margin profile.
Three figures anchor the financial argument. The companies see line of sight to more than USD 1 billion in annual run rate cost synergies. They expect the transaction to add to Marvell's non GAAP Earnings Per Share in the first year after closing. And Lumentum stockholders gain a one third stake in the combined company in place of their current holding.
Governance and Timetable
Murphy stays on as chairman and CEO of the combined company. Three of Lumentum's directors, Hurlston among them, will join Marvell's board, which has seven members today.
Closing is expected in the first half of calendar 2028. It depends on approval by stockholders of both companies, regulatory clearances and customary conditions. Marvell intends to file a registration statement with the Securities and Exchange Commission that will include a joint proxy statement for both sets of stockholders and serve as the prospectus for the new Marvell shares. The documents will be mailed to stockholders once the statement is declared effective.
Results Released Alongside
Marvell used the announcement to update investors on its fiscal third quarter of 2027, which ended on October 31, 2026. Preliminary revenue is consistent with the guidance it gave earlier. The midpoint is unchanged, and the expected range has been narrowed to plus or minus 2% from plus or minus 5%. The figures are unaudited and remain subject to Marvell's quarter end closing procedures and review by its independent auditors. Lumentum separately published results for its first fiscal quarter of 2027.
The two companies discussed the transaction on a joint call at 8:00 a.m. Eastern Time on Monday, with an investor presentation posted on Marvell's Investor relations website.
What Happens Next
The first public milestone is the registration statement and joint proxy filing, which will set out the background to the deal, the terms in full and the risks as the companies see them. Those risks include retaining staff and customers during the long interval before closing, integrating two companies, securing approvals on the timetable expected and realizing the synergies. After that come the two stockholder votes and the regulatory reviews that stand between the announcement and a closing in 2028.
