Deal Completion Confirmed

Esperion Therapeutics (NASDAQ: ESPR) has completed its acquisition by Essence Parent Inc. Ending its run as an independent publicly traded company. The transaction, which took effect on July 13, 2026, positions Esperion as a wholly owned subsidiary of Essence Parent. Shareholders received cash compensation alongside contingent value rights (CVRs), which are tied to future business milestones.

Convertible Notes Adjustment

Following the merger, Esperion’s 5.75% convertible notes were restructured. This adjustment aligns the notes with the company’s new ownership while ensuring a standardized conversion process. Payments are contingent on achieving predefined clinical, regulatory, or commercial benchmarks within specified timeframes.

Loan Agreement Integration

In conjunction with the merger, Esperion secured a loan facility with BioPharma Credit PLC and other lenders. While the exact financial terms were not disclosed, the agreement is designed to support the company’s operational transition under new ownership. The arrangement ensures continuity while adapting the company’s debt structure to its post-merger status.

Equity Compensation Conversion

Outstanding restricted stock units (RSUs) and stock options were accelerated and converted into cash and CVRs as part of the merger. Each RSU and in-the-money option vested immediately upon deal completion, with holders receiving $3.16 per share plus one CVR, minus required tax withholdings.

Regulatory and Legal Framework

The merger was executed in compliance with Delaware General Corporation Law, with all corporate actions completed under the terms of the agreement. A supplemental indenture governing the convertible notes ensures adherence to the new ownership structure and associated payout mechanisms, maintaining regulatory and legal consistency.
