Cellebrite Names Ramji as CEO in Planned Transition
Cellebrite (NASDAQ:CLBT) announced that Shiven Ramji has succeeded Thomas E. Hogan as Chief Executive Officer, effective immediately, as part of a planned leadership transition. Ramji, who joined the company in May 2026 as President, Products and Technology, will also be appointed to Cellebrite's Board of Directors.
Hogan had led Cellebrite as CEO since August 2025, following a path that began when he joined the company as Executive Chairman in August 2023 and later served as interim CEO starting in January 2025. The Board chairman said Hogan's contributions over the past three years included building the leadership team that made Ramji's succession possible, describing it as clear proof of Hogan's success in developing talent within the organization. Hogan, in his own remarks, said Cellebrite's next phase called for a world-class product and technology executive, and that Ramji fit that description exactly.
The transition marks the second CEO change at Cellebrite in roughly eighteen months, following a period in which Hogan himself moved from Executive Chairman to interim CEO and then to permanent CEO. That earlier transition had also been structured as a gradual handover, suggesting the company has now settled into a more defined leadership succession approach as it scales.
New CEO Brings Experience From Okta and Auth0
Ramji joined Cellebrite from Okta, where he served as President of Auth0, overseeing a Business with roughly $1 billion in annual Recurring Revenue and managing its product, data, security, and technology strategy. He previously held senior product leadership roles at DigitalOcean, Amazon, NBCUniversal, and other companies before joining Cellebrite earlier this year to lead its product and technology organization.
In a statement, Ramji said his first three months at the company, spent meeting with customers, employees, and leaders across the business, had reinforced his conviction in both the opportunity ahead and the work required to realize it. He described Cellebrite's mission of helping customers accelerate investigations and protect communities as more relevant than ever.
Leadership Change Accompanies Mixed Second-Quarter Results
The CEO transition was announced alongside Cellebrite's second-quarter 2026 financial results. The company reported annual recurring revenue of $507.8 million, up 21% year-over-year, and revenue of $131.1 million, up 16% year-over-year, with a net retention rate of 117%. However, Cellebrite said annual recurring revenue came in below expectations due to longer sales cycles and softer-than-anticipated contract expansions tied to its Inseyets product line, leading the company to lower its full-year revenue and annual recurring revenue outlook.
At the same time, Cellebrite raised its full-year adjusted EBITDA target, citing continued operating discipline even as it continues investing in newer product lines. The company's third-quarter revenue guidance calls for $145 million to $148 million, while full-year revenue guidance was set at $555 million to $561 million, with adjusted EBITDA guidance of $153 million to $159 million for the full year.
The timing of the leadership change alongside a guidance reset suggests the company is using the transition as an opportunity to reframe expectations under new leadership, a common pattern when incoming CEOs seek to establish a fresh baseline against which future performance can be measured.
